By accessing or utilizing any part of ScaleUp, you signify your agreement to these Terms. If you do not agree with any part of these Terms, you are advised to discontinue use of our Platform immediately.

The purpose of ScaleUp is to facilitate meaningful connections between fundseekers, investors, and other stakeholders, while offering robust tools for documentation, advisory, and collaboration. By using ScaleUp, you gain access to a range of services tailored to meet your specific needs within the financial and investment ecosystem. Your adherence to these Terms ensures a safe, efficient, and transparent environment for all users.

For the purpose of these Terms, the following definitions shall apply:

  • “User” refers to any individual, business entity, or organization that accesses or utilizes the Platform. This includes but is not limited to fundseekers, investors, introducers, and experts participating in any activity facilitated through ScaleUp.
  • “Content” encompasses all forms of material uploaded, posted, shared, or distributed on the Platform. This includes but is not limited to text, images, videos, documents, presentations, spreadsheets, and any other digital files.
  • “Services” refers to the diverse array of functionalities provided by ScaleUp. These include fund matching, advisory services, tools for creating and managing legal and financial documentation, communication tools for seamless collaboration, and any additional features introduced to enhance the Platform’s utility.

  1. Eligibility

To ensure the integrity and security of our Platform, the following eligibility criteria must be met by all Users:

  1. Age Requirement: You must be at least 18 years old or have reached the age of majority as defined by your jurisdiction. If you are under the required age, you are prohibited from using the Platform.
  2. Authority to Enter Agreements: If you are accessing the Platform on behalf of a business entity or organization, you must have the requisite authority to bind the entity to these Terms. By using the Platform, you represent and warrant that you are authorized to act on behalf of the entity.
  3. Accurate and Up-to-Date Information: You agree to provide truthful, accurate, and complete information during the registration process and to update such information promptly as changes occur. Any falsification or failure to maintain accurate account details may result in the suspension or termination of your account.
  4. Compliance with Local Laws: Users are responsible for ensuring that their use of the Platform complies with all applicable laws and regulations within their jurisdiction, including but not limited to financial and data protection laws.

By meeting these eligibility requirements, you contribute to creating a secure and efficient ecosystem for all stakeholders within the ScaleUp community. Failure to comply with these criteria may result in denial of access to our Platform and associated Services.

 

  1. Registration and Account Security

3.1 Account Creation

To access certain features and services on ScaleUp, Users are required to register and create an account. By completing the registration process, you agree to the following terms and conditions:

  • Accurate Information: You must provide accurate, complete, and truthful information during the registration process. This includes your name, email address, phone number, and any other required details. Misrepresentation of identity or falsification of information is strictly prohibited and may result in account suspension or termination.
  • Unique Account Credentials: You are responsible for creating a strong and secure password for your account. It is recommended to use a combination of upper- and lower-case letters, numbers, and symbols to enhance security.
  • Confidentiality: You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. Sharing your login information with unauthorized individuals or entities is strictly prohibited.
  • Immediate Notification: If you suspect any unauthorized access or activity within your account, you must notify us immediately at support@epiidosisglobalfin.com. We will take appropriate measures to secure your account, including password resets and temporary suspensions, if necessary.
  • Account Ownership: Each User is allowed one account unless otherwise authorized by us. Creating multiple accounts without explicit permission may result in all associated accounts being suspended or terminated.

3.2 Account Termination

We reserve the right to suspend, restrict, or terminate your account under the following circumstances:

  • Violation of Terms: If you breach any of these Terms, including misuse of the Platform or failure to comply with applicable laws and regulations.
  • Fraudulent or Suspicious Activity: Detection of fraudulent activities, such as false claims, identity theft, or unauthorized financial transactions, will result in immediate account suspension and possible legal action.
  • Behavioral Misconduct: Any actions or behaviors that compromise the integrity, security, or performance of the Platform, such as hacking, spreading malicious software, or attempting to exploit system vulnerabilities.
  • Failure to Respond: Repeated failure to respond to our inquiries or requests for account verification may lead to suspension.

If your account is terminated, access to any data or content associated with your account may be permanently revoked. In certain cases, such as legal or regulatory obligations, we may retain specific data as required by law.

  1. User Obligations

As a User of ScaleUp, you agree to adhere to the following obligations:

  • Compliance with Laws: Use the Platform in full compliance with all applicable laws, regulations, and industry standards. This includes but is not limited to intellectual property laws, data protection regulations, and anti-fraud statutes.
  • Prohibited Content: You must not upload, share, or distribute any content that is:
    • Unlawful, defamatory, abusive, or harmful.
    • Misleading or fraudulent in nature.
    • Offensive, obscene, or otherwise inappropriate for a professional environment.
  • Platform Integrity: Avoid engaging in activities that could disrupt, damage, or impair the functionality of the Platform. This includes but is not limited to hacking, introducing malware, conducting unauthorized data scraping, or attempting to bypass security protocols.
  • Respect for Other Users: Treat all Users of the Platform with respect and professionalism. Harassment, abuse, discrimination, or other harmful behavior towards other Users will not be tolerated.
  • Responsibility for Actions: You are responsible for all actions taken under your account, whether authorized by you or not. Ensure that you monitor account activity and follow best practices for securing your credentials.

By adhering to these obligations, you help maintain a secure, professional, and collaborative environment for all Users on ScaleUp.

  1. Services Offered

5.1 Fund Matching

ScaleUp is designed to bridge the gap between fundseekers—entrepreneurs, startups, and established enterprises—and potential investors, including individual investors, venture capitalists, and institutional partners. Our Platform facilitates these connections through advanced matching algorithms, which consider user-submitted data such as project details, funding requirements, investment criteria, and regional preferences. While we strive to create high-quality matches and foster meaningful collaborations, ScaleUp does not guarantee the successful closing of funding or investment deals. Users must exercise their own due diligence and judgment when engaging with potential partners.

5.2 Advisory and Documentation

ScaleUp provides an array of tools and resources to streamline the preparation and submission of funding proposals, business plans, and legal documentation. These services include:

  • Templates and Guidelines: Access to customizable templates for financial projections, investor decks, and regulatory filings.
  • Automated Document Generation: Tools to assist with generating agreements, term sheets, and confidentiality agreements.
  • Educational Content: Tutorials, webinars, and FAQs to help users understand the funding process and prepare effective documentation.

While these services aim to enhance the quality and professionalism of user submissions, they are intended solely for informational purposes and do not constitute professional legal, financial, or tax advice. Users are encouraged to consult with licensed professionals for personalized guidance.

5.3 Communication Tools

The Platform includes secure, integrated communication features to enable seamless interaction between users. These tools include:

  • Direct Messaging: Private channels for fundseekers and investors to exchange information.
  • Collaboration Workspaces: Shared environments for reviewing and editing documents, project updates, and feedback.
  • Notification Systems: Alerts to keep users informed about activity on their profiles, such as new matches or message responses.

Users are solely responsible for the content they share through these tools, and ScaleUp disclaims all liability for any consequences arising from such communications. We reserve the right to monitor and moderate communications to ensure compliance with our policies and to uphold a safe and respectful environment.

  1. Fees and Payment

6.1 Subscription Fees

Certain features and premium services on the Platform may require the payment of subscription fees. These fees:

  • Are prominently disclosed during the registration or subscription process, detailing the pricing tiers and benefits of each package.
  • Are billed on a monthly or annual basis, depending on the plan chosen by the User.
  • Are non-refundable unless otherwise stated in our refund policy. For example, refunds may be considered in cases of technical malfunctions that significantly hinder service access.

6.2 Transaction Fees

In addition to subscription fees, ScaleUp may charge transaction fees for specific services, such as:

  • Fund Disbursements: Fees applied when funds are successfully transferred between parties on the Platform.
  • Document Certification: Costs associated with validating or certifying legal and financial documents.
  • Custom Services: Additional fees for bespoke solutions or consultations.

Users will receive advance notice of any applicable transaction fees and must provide explicit consent before such charges are applied.

6.3 Payment Methods

We accept a variety of secure payment methods, including but not limited to credit cards, debit cards, and digital payment platforms. All payments are processed through encrypted third-party gateways to ensure the highest level of security. By providing payment information, Users:

  • Authorize ScaleUp to charge the applicable fees as outlined in their subscription or transaction agreements.
  • Agree to maintain sufficient funds or credit availability to fulfill payment obligations.
  • Accept responsibility for any additional charges imposed by their payment provider, such as foreign transaction fees or currency conversion costs.

Users are encouraged to review their payment receipts and contact our support team promptly in case of discrepancies or concerns.

  1. Intellectual Property

7.1 Ownership

All intellectual property rights related to the Platform, including but not limited to trademarks, service marks, logos, designs, text, graphics, software, source code, databases, proprietary algorithms, and any other materials available on the Platform, are the exclusive property of Epiidosis Global Finance LLC-FZ or its licensors. These rights are protected under applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws.

You acknowledge that your use of the Platform does not grant you any ownership rights in the intellectual property of Epiidosis Global Finance LLC-FZ or its licensors. Unauthorized use, reproduction, modification, distribution, or storage of any intellectual property assets without prior written consent is strictly prohibited and may result in legal action.

7.2 User Content

When you upload, submit, or share any content, including but not limited to text, images, videos, files, or other materials (“User Content”) to the Platform, you affirm that you have the necessary rights, permissions, and authority to do so. By submitting User Content, you:

  • Grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in connection with the operation, promotion, and improvement of our services.
  • Acknowledge that the license granted allows us to share your content with other Users or third parties where necessary for the fulfillment of our services.
  • Agree that we may retain backup copies of your content for archival, legal, or operational purposes even after your content has been deleted or removed from the Platform.

You retain all ownership rights in your User Content. However, you represent and warrant that your content does not infringe upon or violate the intellectual property rights of any third party, is not defamatory, and does not violate any applicable laws.

We reserve the right to review, moderate, or remove User Content at our discretion if it violates these Terms, is unlawful, or compromises the integrity of the Platform. However, we do not guarantee that all User Content will be monitored or reviewed.

  1. Privacy and Data Protection

Our commitment to protecting your personal data is outlined in our Privacy Policy. By accessing or using the Platform, you consent to the collection, processing, storage, and sharing of your personal data in accordance with the terms described in the Privacy Policy.

  1. Disclaimers and Limitations of Liability

9.1 Disclaimers

The Platform and its services are provided on an “AS IS” and “AS AVAILABLE” basis without any express or implied warranties of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We strive to maintain the accuracy and reliability of the Platform but cannot guarantee the following:

  • Uninterrupted Access: We do not warrant that the Platform will operate continuously, securely, or error-free. Technical issues, updates, maintenance, or external factors may cause temporary disruptions.
  • Content Accuracy: While we take reasonable efforts to ensure the accuracy of information provided, we are not responsible for errors, omissions, or inaccuracies in User-submitted content or third-party materials.
  • Third-Party Dependencies: Certain functionalities of the Platform may rely on third-party integrations or services. We are not liable for the unavailability or malfunction of these third-party systems.
  • Security: Although we implement industry-standard security measures, we do not guarantee that the Platform will be free from viruses, malware, or other harmful components.

Your use of the Platform is at your own risk, and you are responsible for ensuring that the services meet your specific requirements.

9.2 Limitations of Liability

To the fullest extent permitted by law, Epiidosis Global Finance LLC-FZ and its affiliates, officers, employees, agents, and licensors shall not be liable for any of the following:

  • Indirect, Incidental, or Consequential Damages: This includes but is not limited to loss of profits, revenue, data, goodwill, or business opportunities arising from the use or inability to use the Platform, even if we have been advised of the possibility of such damages.
  • Unauthorized Access or Alteration of Data: We are not liable for damages resulting from unauthorized access to your account, data breaches, or modifications to User-submitted content.
  • Reliance on Information: Any decisions or actions taken based on information available on the Platform are at your own discretion and risk. We are not responsible for any adverse outcomes resulting from such reliance.

Our aggregate liability for all claims arising out of or related to the use of the Platform shall not exceed the total amount you have paid for our services in the 12 months immediately preceding the claim. This limitation applies to all causes of action, including breach of contract, negligence, or other torts.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Epiidosis Global Finance LLC-FZ, its affiliates, officers, employees, agents, and licensors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the following:

  • Violation of Terms: Any breach or violation of these Terms by you or individuals accessing the Platform through your account.
  • Misuse of the Platform: Any misuse, abuse, or unauthorized use of the Platform or its content, including fraudulent activities or the distribution of harmful materials.
  • Third-Party Claims: Any claims brought by third parties related to:
    • Content uploaded, posted, or shared by you on the Platform.
    • Your conduct or interactions with other Users.
    • Violations of intellectual property rights, privacy rights, or other legal rights resulting from your use of the Platform.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully in the defense of such claims. This indemnification obligation will survive the termination or expiration of these Terms and your use of the Platform.

  1. Termination

We reserve the right to suspend, restrict, or terminate your access to the Platform at our sole discretion and without prior notice under the following circumstances:

  • Violations of These Terms: If you breach any provision of these Terms or engage in prohibited activities, including but not limited to fraud, misuse of the Platform, or illegal conduct.
  • Legal or Regulatory Compliance Requirements: If your actions or the information you provide cause us to violate applicable laws, regulations, or legal obligations, we may terminate your access immediately to ensure compliance.
  • Protection of Platform Integrity: If we determine, in our sole judgment, that your continued access to the Platform could harm our systems, data, services, or the experiences of other users, including cases involving cybersecurity risks, abusive behavior, or activities that undermine trust.

In the event of termination or suspension:

  1. You will lose access to all features, services, and content associated with your account.
  2. We reserve the right to delete your data, files, or content, except where retention is required for legal or regulatory purposes.
  3. You will not be entitled to any refund of fees paid unless explicitly stated in our Refund Policy.

You may choose to terminate your account at any time by contacting us at support@epiidosisglobalfin.com. Upon receiving your termination request:

  • We will verify your identity to prevent unauthorized account deletion.
  • Your account will be deactivated within 7 business days unless legal obligations require extended retention.
  1. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any related disputes are governed by and construed in accordance with the laws of the United Arab Emirates (UAE), excluding its conflict of law principles. By accessing or using the Platform, you agree that any matters arising under these Terms will be resolved under UAE jurisdiction.

12.2 Dispute Resolution

In the event of a dispute or disagreement related to your use of the Platform:

  1. Negotiation: Both parties agree to make a genuine effort to resolve the matter amicably through direct negotiation. This includes an obligation to notify the other party in writing of the nature of the dispute and proposed solutions.
  2. Binding Arbitration: If the dispute cannot be resolved through negotiation within 30 days, the matter will be referred to binding arbitration in Dubai, UAE. Arbitration will be conducted in accordance with the UAE Arbitration Law and administered by an arbitration center agreed upon by both parties.
    • The arbitration will be conducted in English.
    • The arbitrator’s decision will be final and binding on both parties.
    • Costs of arbitration will be borne equally by both parties unless otherwise decided by the arbitrator.
  3. Exclusions: Notwithstanding the above, we reserve the right to seek injunctive or equitable relief in UAE courts to protect our intellectual property or proprietary rights.
  4. Class Action Waiver: You agree that any disputes must be resolved on an individual basis and that you will not bring a claim as a plaintiff or class member in a class, collective, or representative action.

By agreeing to these Terms, you waive any right to a trial by jury or to participate in class actions, to the extent permitted by applicable law.

  1. Changes to These Terms

We reserve the right to update, amend, or revise these Terms and Conditions at our sole discretion to reflect changes in legal requirements, industry practices, technological advancements, or improvements to our Platform. Any modifications will become effective immediately upon being posted on the Platform unless otherwise stated.

In the event of significant changes to these Terms, we will:

  • Notify Users via email to the address registered in their account.
  • Provide a prominent notice on the Platform for a reasonable duration before the changes take effect.

It is your responsibility to periodically review these Terms to remain informed of any updates. Your continued access to or use of ScaleUp after changes to these Terms constitutes your acknowledgment and acceptance of the updated Terms. If you do not agree to the amended Terms, you must discontinue using the Platform immediately.
